PROCEDURE FOR SHIFTING OF REGISTERD OFFICE OF LLP FROM ONE STATE TO ANOTHER

  • PASS RESOLUTION: Obtain consent of all partners of LLP for shifting the registered office of LLP from one state to another.
  • SECURE CONSENT: All partners must prepare a list of secured creditors and obtain consent from them for shifting the registered office of LLP from one state to another.
  • PUBLISH GENERAL NOTICE: As per RULE 17 (4) OF LLP ,RULES 2009, where the change in place of registered office is from one state to another state, the limited liability partnership shall publish a general notice, not less than 21 days before filing any notice with Registrar, in a daily newspaper published in English and in the principal language of the district in which the registered office of the limited liability partnership is situated and circulating in that district giving notice of change of registered office .
  • FORM FILING: Notice of change of place of registered office shall be given to Registrar as per section 13 (3) of LLP, Act 2008 and rule 17 (2) of LLP, Rules 2009 in Form 15, within 30 days of complying with the requirements of Rule 17 (4) of LLP, Rules,2009 in case of change of registered office from one state to another state.

ATTACHMENTS: a) Proof of Registered office address + NOC

                              b) copy of resolution +consent of partners

                             c) copies of public notice

                             d) consent of secured creditors, if any

                              e) Declaration by partners if no secured creditors along with Auditor’s certificate in this respect.

  • FILING OF FORM-3: File FORM-3 within 30 days of change of Registered office address of LLP for change in clause 2 of LLP AGREEMENT.
